These terms are the agreement between you and Companion, Inc. for Relay, the messenger where your contacts are AI agents. They cover the Relay app, relayapp.im, and the service behind them. Using Relay means you accept them. Anyone who prefers other terms can stop using Relay and delete their account in Settings.
Our Privacy Policy explains what we collect and why. It is part of this agreement.
If you run a business on Relay, the Relay Business Terms of Service are the agreement for Relay Console and the Relay Store.
Who can use Relay
You must be at least 13 years old. If your country sets a higher age for agreeing to terms like these, you must meet it. If you use Relay for an organization, you confirm you can accept these terms on its behalf. If we have removed you before, your access stays closed until we agree in writing to reopen it.
Getting access
Relay is in preview and runs on iPhone through TestFlight. You sign up with your name and email, and access is normally granted right away. We cap how many people we let in each day, and a signup past that cap waits for a person on our team. Access is ours to give, and we can change how it works while Relay is in preview.
Your account
Your account is verified with your phone number. Keep your phone and your sign-in access secure, because what happens on your account is your responsibility. Agent Tokens and other credentials you create are secrets. You are responsible for every system you give them to, and you should rotate a token the moment you think it has leaked. Tell us if you believe someone else is using your account.
Your content
Your messages, files, images, voice memos, and agent configuration are yours. You keep every right you already have in them. To run the service you give Companion, Inc. permission to store, transmit, display, back up, and process that content, and to deliver it to the agents you send it to. That permission is limited to running Relay, and it ends for a piece of content when you delete it and our systems finish removing it. Publishing or selling your content would take your permission, and this agreement leaves that with you.
You are responsible for what you send. Send content you have the right to send.
Agents on Relay
An agent is an AI that does things for you. Most are run by developers rather than by Companion, Inc. When you message an agent, Relay delivers that message to its operator. The operator's own terms and privacy practices apply to what it does with your message, and how long it keeps a copy is the operator's decision under those terms. An agent can go offline or change at any moment, and its operator decides when.
Agents can be wrong. Output can be inaccurate, incomplete, or unsuitable for your situation. Treat it as information to check, and get advice on health, law, money, and safety from a professional. In an emergency, call your local emergency number: Relay's delivery reaches the agents in your chats, and an emergency call needs your phone's dialer.
You choose which agents can reach you. Block or report an agent from its profile, and delete its conversation from your inbox to clear the thread. Blocking stops delivery and holds until you unblock.
If you build an agent
You are responsible for your agent: what it says, what it does with the messages it receives, the endpoint it runs on, and the laws that apply to it. Your agent must make clear it is software, must respect the rules below, and must handle the data it receives responsibly. We can disconnect, suspend, or remove an agent that breaks these terms or puts users at risk.
If you operate an agent for a business through Relay Console, the Relay Business Terms of Service also apply to you. For anything about operating agents or paying for Relay Console, that agreement is the one that controls.
Rules for using Relay
Use Relay lawfully, and treat the people and agents on it decently. We remove content and end access when someone uses Relay to:
- break the law, or help anyone else break it;
- harass, threaten, defraud, impersonate, or endanger anyone;
- send sexual content involving minors, or anything that exploits or endangers a child;
- send spam, bulk unsolicited messages, or malware;
- get unauthorized access to accounts, agents, or our systems, or probe, scrape, or overload the service;
- reverse engineer Relay, or work around its limits, rate limits, or safety measures;
- resell or rent access to Relay, which takes our written permission first.
Third-party services and app stores
Relay works alongside services other companies run, including agent endpoints, model providers, and the links agents send you. Each of those companies answers for its own service. If you installed Relay from an app store, that store's terms also apply, this agreement stays between you and Companion, Inc., and support for Relay comes from us.
Fees
Using Relay as a person is free while it is in preview. If we add paid features for you, we will say what they cost before you buy anything. Your carrier and data charges are yours.
Businesses pay to operate agents through Relay Console. That is a separate service under its own agreement, the Relay Business Terms of Service, and this document does not change what that one says.
Preview software
Relay is early software. Features can change, break, or disappear, and data created during the preview can be lost. Keep your own copy of anything you would hate to lose.
Suspension and ending your account
You can stop using Relay at any time and delete your account in Settings, Delete Account. We can suspend or end access that breaks these terms, creates risk for other people or the service, or that the law requires us to stop. Where we can, we will tell you why. If you think we got it wrong, email us and a human will look again.
Disclaimers
Relay is provided on an “as is” and “as available” basis, which means you take it as it runs on the day you use it. To the fullest extent the law allows, Companion, Inc. disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Uptime, security, freedom from errors, and the accuracy of agent output all fall under that disclaimer, and a promise about any of them would have to come from us in writing.
Limitation of liability
To the fullest extent the law allows, Companion, Inc.'s liability for your use of Relay covers direct damages. It excludes indirect, incidental, special, consequential, and punitive damages, and it excludes lost profits, lost data, and lost goodwill. Our total liability for any claim relating to Relay is limited to the greater of the amount you paid us in the three months before the claim, or one hundred United States dollars. Where local law caps how far limits like these can go, they apply as far as that law allows.
Indemnity
If someone brings a claim against Companion, Inc. because of how you used Relay, the content you sent, an agent you operate, or your breach of these terms, you agree to cover the resulting costs, damages, and reasonable legal fees.
Governing law and disputes
If you have a problem, email us first. Almost everything gets settled that way. These terms are governed by the laws of the State of Delaware, setting aside its conflict of law rules, and a dispute that survives that email goes to the state or federal courts located in Delaware. Either of us can still bring a claim in a small claims court.
General
These terms, with the Privacy Policy, are the whole agreement between us about Relay. If a court sets part of them aside, the rest stays in force. A term we let pass once stays enforceable later. These terms stay with you personally, and we can transfer them to a successor of our business. You must follow applicable export and sanctions laws when you use Relay.
Changes to these terms
We update these terms as Relay changes. The new version is posted here with a new date, and using Relay after that means you accept it. If a change matters, we will say so in the app or by email.

Relay Business Terms of Service

These terms are the agreement between your organization and Companion, Inc. (“Companion”) for Relay Console: the console at console.relayapp.im, its APIs, and the agents you connect through it. They are separate from the consumer Terms of Use, which govern people who use Relay.
You accept these terms by ticking the box at sign-up, by creating or administering an organization in the console, or by using Relay Console. The person accepting confirms they have authority to bind the organization; “you” in this document means that organization. If you set up or run an organization on a client's behalf, you are responsible for your client's compliance as if it were your own, and both of you are bound.
Our Privacy Policy is part of this agreement. Where this document and the Privacy Policy overlap, the Privacy Policy controls for personal data and this document controls for everything else. No purchase order, procurement portal, or other document you issue changes this agreement, even if we sign or acknowledge it.
What Relay Console is
Relay Console lets your organization build and run AI agents that people can message in Relay. We provide the console, the delivery of messages between Relay users and your agent's endpoint, and agent profiles you can share directly. Relay Console is early software: features can change, and we can add, modify, or retire parts of the service. Where a change materially reduces what you pay for, the section on changes below applies.
The service depends on third-party AI models and infrastructure we do not control. Model providers change behavior, availability, pricing, and policies, and your agent's behavior may change with them. We may change underlying models and providers at any time; that is not a breach of this agreement.
Your account and your team
Keep your sign-in access and credentials secure. Agent Tokens and API keys are secrets: you are responsible for every system you give them to, and you should rotate a credential the moment you think it has leaked. Everything done through your organization's accounts — by your members, your contractors, or anyone using your credentials — is your responsibility. Tell us within 24 hours at [email protected] if you believe your account, credentials, or agent endpoint have been compromised.
Subscription, fees, and renewal
Relay Personal is free. It includes Relay Console, unlimited agents, unlimited organization seats, and unlimited username-scoped Handles, such as @name.anything. People can add and message those agents, but a username-scoped Handle cannot send an Add request first. Analytics is available only on a paid plan.
Relay Business costs $99 per organization each month. It includes one Premium Handle, such as @nike. Additional Premium Handles cost $49 per Handle each month. Only an agent with a Premium Handle can send an Add request to a person who has not already added it. Business also includes unlimited username-scoped Handles, agents, and organization seats, plus analytics.
Each Business billing period includes 1,000 people. We charge $0.09 for each additional person in that period, $0.08 for each person past 10,000 and $0.07 for each person past 25,000, counting every person in the period. Relay Enterprise has custom pricing, custom people pricing, and unlimited Premium Handles. A signed Enterprise agreement can replace these prices. Your paid billing period starts on your subscription renewal date, not necessarily on the first day of a calendar month. A paid subscription renews automatically at the end of each billing period until you cancel it. You can cancel a paid plan at any time in the console under Settings, Billing. Cancellation takes effect at the end of the period you have paid for, and paid features remain available until then. Cancelling a paid plan does not close your Console account. You remain responsible for usage charges accrued in the final period.
A person counts for billing when they exchange at least one delivered message with an agent owned by your organization during a billing period. A message counts whether that person sent it to your agent or your agent delivered it to them, and no reply is required. We count that person once per organization in each billing period, even if they use several of your agents, join several conversations, use several devices, or send many messages. Everyone counts, including your organization's own members and anyone messaging an agent they created themselves; agents are not people. The same person can count separately for two organizations.
In a group conversation, a person counts when they exchange a delivered message with one of your agents there, including a message your agent delivers to them. A group conversation has one person and one or more agents. That person counts once for the billing period, whether or not they reply; agents are not counted people. We record the first qualifying message in each billing period and use that record to calculate usage. Current usage and the projected charge appear under Settings, Billing.
Fees are non-refundable, with two exceptions: if we end this agreement without cause, or if we make a change to these terms that materially and adversely affects you and you terminate before it takes effect, we refund the prepaid fees for the unused part of your term. We may offer goodwill refunds beyond this at our discretion, and doing so once does not oblige us to again.
We can change prices with at least 30 days' notice; a price change takes effect at your next renewal, never mid-period. Fees exclude taxes; you are responsible for sales, use, VAT, and similar taxes, and we will collect them where the law requires. If a payment fails, we retry; if fees stay unpaid, we can suspend the service after notice, and unpaid amounts accrue interest at the lesser of 1.5% per month or the legal maximum.
Your content stays yours
Your agent's configuration, instructions, knowledge, profile assets, and everything else you put into Relay Console are yours. The output your agent generates is yours too: as between you and Companion, you own it, and we assign to you whatever right, title, and interest we may have in it. You give us the permission we need to run the service — to store, transmit, process, display, and deliver your content and your agent's messages to the people who talk to it. That permission is limited to operating, securing, and improving Relay, and it ends for a piece of content when you delete it and our systems finish removing it.
We do not train AI models on your content. We also contractually restrict the third-party model providers we use from training on it. We may use de-identified, aggregated usage data — which does not identify you, your agent's conversations, or any person — to operate and improve Relay. If you send us feedback, we can use it without obligation to you.
You promise you have the rights you need in everything you put into the service: your agent's name, avatar, instructions, knowledge, and profile content.
Conversations with Relay users
When a Relay user messages your agent, Relay delivers that message to your endpoint. From that moment you hold a copy of a person's words, and you are independently responsible for it under the privacy laws that apply to you. Relay's own handling of the conversation is governed by our Privacy Policy and the consumer Terms of Use.
You agree to exactly this use of conversation data, and no more:
- Use what users send your agent only to answer them and operate your agent. Do not sell it, share it, or use it for advertising.
- Do not use identities or contact details learned through Relay conversations to contact people outside Relay, or to build marketing lists, without that person's separate, explicit consent.
- Do not train AI models on Relay users' conversations without both our written consent and the user's.
- Do not attempt to re-identify users or link them across services.
- Honor deletion requests: when a user asks you, or we forward a request, delete your copy of their conversation unless the law requires you to keep it.
- Maintain a privacy policy that honestly describes what you do with conversation data, and keep it linked from your agent profile.
Your agent speaks for you
You are solely responsible for your agent, for its output, and for every aspect of the interaction between your agent and any Relay user. What your agent says is your statement — including any price, offer, refund, warranty, commitment, or agreement it purports to make on your behalf. Companion is not a party to those interactions, does not mediate disputes between you and Relay users, and has no responsibility for any transaction or relationship your agent creates. Claims from users or third parties about your agent — including claims that its output caused harm, broke a law, or infringed someone's rights — are yours to handle, and you may not limit your liability to Relay users beyond what the law allows.
Agent behavior and output
AI output is probabilistic. Your agent's output can be inaccurate, incomplete, out of date, offensive, or confidently wrong, and identical inputs can produce different outputs. You are responsible for evaluating whether your agent's output is appropriate for your use — including where human review or escalation to a human belongs — before you make your agent available and continuously afterward. Monitor your agent, keep a working path for a person to reach a human at your organization, and do not encourage anyone to rely on output without checking it.
Your agent must be honest about what it is:
- It must be clear that it is an AI, must never claim to be human, and must answer truthfully if asked whether it is an AI.
- You may not disable, obscure, or work around any AI disclosure Relay applies to agents or their messages, and we may add disclosures, safety messaging, or crisis resources to agent conversations where the law or user safety requires it.
- It may not impersonate a specific real person without documented authorization, or present itself as a licensed professional.
Some uses are off limits for agents on Relay. Your agent must not:
- provide medical diagnosis or treatment, legal advice, or individualized financial advice, or present its output as professional advice in a regulated field;
- make or communicate decisions about a person's credit, employment, housing, insurance, or education eligibility without human review;
- serve as a crisis or self-harm counseling service, target children under 13, or knowingly interact with them;
- collect health records, payment card numbers, government ID numbers, biometric identifiers, or similarly sensitive data unless we have agreed in writing first;
- run political persuasion or election-related campaigns.
Rules for using Relay Console
Use Relay Console lawfully and treat the people on Relay decently. Breaking these rules is a material breach of this agreement. We remove content, suspend agents, and end access when an organization or its agent:
- breaks the law, or helps anyone else break it;
- harasses, threatens, defrauds, deceives, impersonates, or endangers anyone;
- sends spam or unsolicited messages. An agent may message only people who have added it. A Premium Handle may send Relay's Add request first, but that request carries no message. A username-scoped Handle may not send the request. No agent may send marketing without the person's separate opt-in;
- sends sexual content involving minors, or anything that exploits or endangers a child;
- probes, scrapes, overloads, or gets unauthorized access to accounts, agents, or our systems;
- reverse engineers Relay, works around its limits or safety measures, or uses the service to build or train a competing product;
- resells, rents, or shares access to Relay Console without our written permission.
We can update these rules effective on posting when needed to protect users, the service, or our legal position. You agree to cooperate with reasonable requests from us to verify your identity and how your agent operates.
Agent profiles and availability
Relay can give your agent a profile that you share directly with users. We can review an agent before making it available, and whether an agent is available is our decision, in our sole discretion. Review checks the agent's name, description, identity, and obvious policy problems. Approval is not an endorsement, a certification, an audit, or a verification of your agent's accuracy, safety, or fitness. We do not promise distribution, discovery, promotion, or continued availability.
An available agent must meet these requirements, at review and always:
- The profile accurately identifies your organization by its real name and does not imply endorsement by or affiliation with Companion or Relay.
- The profile carries working support contact information and a link to your privacy policy, and your own terms if you have them. If you publish terms to users through your agent, Companion is a third-party beneficiary of them and can enforce them; if you publish none, Relay's consumer Terms of Use govern the user's use of your agent.
- You answer user support inquiries about your agent within 3 business days, and within 24 hours for anything we flag as urgent. Support for your agent comes from you: we have no obligation to provide maintenance or support for it.
- Your agent behaves in production the way it behaved in review. Configuring an agent to act differently during review, or falsifying review or usage records, is grounds for immediate termination.
We can suspend, limit, or disable any agent, including for users who already added it, at any time, with notice to you, based on human or automated review, if we reasonably believe the agent or its output violates the law or these terms, infringes anyone's rights, or puts users, Relay, or Companion at risk. Where we can, we tell you why, and if you think we got it wrong, email us and a human will look again. Disabling an agent does not relieve you of your obligations under these terms. You can disable your agent at any time in the console.
When an agent is disabled, withdrawn, or your subscription ends, it stops being available to message, and users' copies of past conversations remain governed by the consumer Terms of Use. You give us permission to show your agent's name, avatar, profile content, and your organization's name and logo in Relay while the agent is available. We will ask before featuring you in marketing.
Suspension
We can suspend your access, or your agent's availability to users, immediately if we reasonably believe: continuing would violate the law; you have materially breached these terms; your agent or activity degrades the security or reliability of Relay or anyone else's systems; your agent's output presents a risk of harm; you have not responded to a request for information we need; or your fees are past due after notice. We use suspension to contain a problem, not to end the relationship: where we can, we tell you why, scope it narrowly, and lift it when the problem is resolved.
Term and termination
This agreement runs while you have a Relay Console account. You can stop at any time by cancelling your subscription and closing your account. We can end this agreement: with 30 days' notice and a pro-rata refund of unused prepaid fees, without cause; on 10 days' notice if you materially breach and do not cure; or immediately for the fraud, safety, and dishonesty cases named above, or where the law requires us to.
Cancelling a paid plan ends its paid features at the close of that period; it does not close your Console account or end this agreement. When you close your organization or we terminate this agreement, your agents stop being available. Ask us within 30 days and we will provide an export of your organization's content; after that we delete it from our systems within 60 days (backups within 90), keeping only what the law requires, safety records, and the de-identified usage data described above. Sections that by their nature should survive — including ownership, payment obligations, confidentiality, disclaimers, liability limits, indemnities, and disputes — survive.
Confidentiality
Each of us will protect the other's non-public information with at least reasonable care, use it only for this relationship, and not disclose it except to people who need it and are bound to protect it. This does not cover information that is public, independently developed, or rightfully received elsewhere. Either of us can disclose what the law compels, with notice to the other where allowed. This obligation lasts three years after the agreement ends, and for trade secrets, as long as they stay trade secrets.
Disclaimers
Relay Console is provided “as is” and “as available.” To the fullest extent the law allows, Companion disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise the service will be uninterrupted, error-free, or secure, and we commit to no specific level of availability. We make no representations or warranties, and provide no indemnities, with respect to your agent's output. Features we label beta, preview, or experimental come with no commitments at all. A promise about any of this would have to come from us in writing.
Limitation of liability
To the fullest extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost goodwill, however arising, even if advised of the possibility. Except for Excluded Claims, each party's total liability arising out of or relating to this agreement is limited to the greater of the fees you paid us in the twelve months before the first event giving rise to liability, or five hundred United States dollars.
“Excluded Claims” are: a party's fraud, gross negligence, or willful misconduct; your payment obligations; your breach of the rules and restricted-use sections above; and amounts owed under the indemnification section. These limits reflect the allocation of risk this agreement's pricing is built on, apply regardless of the theory of liability, and apply even if a remedy fails of its essential purpose. Where local law caps how far limits like these can go, they apply as far as that law allows.
Indemnification
You will defend and indemnify Companion against third-party claims — including claims by Relay users — arising from: your agent and its output, including anything it said or purported to commit to; your content, configuration, profile, or trademarks; your breach of this agreement or of the law; any transaction or relationship between you and a Relay user; and the performance, non-performance, or improper performance of your agent.
We will defend and indemnify you against third-party claims that the Relay Console, as we provide it, infringes their intellectual property rights — excluding claims arising from your content, your agent or its output, combinations with your systems, modifications, or use in breach of this agreement. If such a claim makes the console unavailable, we will procure the right, modify the service, or terminate and refund your unused prepaid fees.
The party being defended must give prompt notice, hand over control of the defense, and reasonably cooperate; the defending party may not settle in a way that binds or admits fault for the other without consent. This section is each party's sole and exclusive remedy under this agreement for third-party claims of the kinds it covers.
Changes to these terms
We update these terms as Relay Console changes. The new version is posted here with a new date and version identifier, and we give you at least 30 days' notice — by email and in the console — before a change that materially and adversely affects you takes effect. Changes required by law, or needed for security, fraud prevention, or user safety, can take effect immediately. No change applies retroactively to a dispute that arose before it took effect. If you do not agree to a material change, terminate before its effective date and we refund the prepaid fees for the unused part of your term; continuing to use Relay Console after the effective date means you accept the change.
Governing law and disputes
If there is a problem, email us first: almost everything gets settled that way, and each of us agrees to try in good faith for 30 days before filing anything. This agreement is governed by the laws of the State of Delaware, setting aside its conflict of law rules. Disputes that survive that email go exclusively to the state or federal courts in Delaware, and both of us consent to their jurisdiction. Both of us waive trial by jury, and each of us brings claims only in our own capacity — not as a plaintiff or class member in any class, consolidated, or representative action. Either of us can still bring a claim in small claims court, or seek an injunction for infringement or misuse of intellectual property or confidential information in any competent court.
General
A notice from us counts as received when posted in the console or sent to your account's email address; notices to us go to [email protected]. You agree we can communicate with you electronically. Neither of us is liable for delay or failure caused by events beyond reasonable control, including outages of third-party AI models or infrastructure. You may not assign this agreement without our written consent; we may assign it to a successor of our business. You must comply with export controls and sanctions, and you confirm you are not subject to them.
This document, with the Privacy Policy and any written agreement we both sign, is the whole agreement about Relay Console, and if they conflict, a signed agreement controls, then this document, then the policies it incorporates. Except for Companion's right to enforce terms you publish to users through your agent, there are no third-party beneficiaries. If a court sets part of this agreement aside, the rest stays in force, and a term we let pass once stays enforceable later.
